Investments arranged by the firm are available only to investors who qualify under an exemption from prospectus requirements. Investors in other jurisdictions may participate only where an offering may lawfully be made to them. Eligibility is confirmed by the dealer before any subscription is accepted. 3. Distribution and registration

Lobo Capital & Partners does not itself trade in securities or advise on their purchase or sale. Securities are distributed through Goodland Wealth Inc., an exempt market dealer registered in Ontario, British Columbia, Alberta and Québec, which carries out know-your-client, know-your-product and suitability review for every subscription. The registration status of each entity involved in an offering, including any investment fund manager, is set out in that offering's documents.

4. Related parties and conflicts of interest

The founding partners hold interests in other firms that may take part in, or earn fees from, investments arranged by Lobo Capital & Partners:

• Rock Advisors Inc., Brokerage, of which Derek Lobo is founder, President, Chief Executive Officer and Broker of Record, may earn brokerage, leasing or advisory fees in connection with sites, assets or developer partners introduced to the firm.
• Goodland Wealth Inc., the exempt market dealer through which securities are distributed, is founded and controlled by Joshua Hoo, who also holds its Ultimate Designated Person and Chief Compliance Officer registrations. The dealer earns commissions or fees on subscriptions.
• Goodland Equity Partners Inc. and Hoo Capital Realty Inc., both controlled by Joshua Hoo, may provide structuring, asset management or brokerage services to vehicles arranged by the firm and earn fees for doing so.

These relationships create conflicts of interest. Each is disclosed in the offering documents for the relevant investment, together with the amounts payable, and is managed under the dealer's conflicts-of-interest policy. Investors should consider them carefully and obtain independent advice.

5. Track record and attribution

Lobo Capital & Partners was formed in 2026 and has no investment track record of its own. Figures on this website describing years of experience, capital raised, projects financed and investor households served relate to the founding partners' careers at other firms, principally Rock Advisors Inc. and Greybrook Realty Partners, and to capital arranged by them before the firm was formed. Any projects described on this website were arranged by the partners or their affiliated firms, and the firm's role in each is stated. Past performance is not indicative of future results. Figures are stated as at the date shown on the page on which they appear and are in Canadian dollars unless otherwise stated.

6. Forward-looking statements

Statements on this website about strategy, markets, expected returns, financing, refinancing at stabilisation and the future performance of any project are forward-looking. They reflect the partners' current views and assumptions, involve known and unknown risks and uncertainties, and may prove wrong. Actual results may differ materially. Complaints relating to the dealer are handled under its complaint-handling procedure, a copy of which is available on request, and investors have the rights to independent dispute resolution described in the dealer's relationship disclosure.
